Terms of Service
DRAFT - NOT YET REVIEWED BY A SOLICITOR. DO NOT PUBLISH.

1. Who we are
Tick Sprout is operated by Hero Marketer Limited, a company registered in England and Wales (company number [NUMBER]), registered office [ADDRESS]. VAT registration number [NUMBER].
You can contact us at [EMAIL].
In these terms, "we", "us" and "our" mean Hero Marketer Limited. "You" means the person using the site or holding an account.
2. What these terms cover
These terms govern your use of ticksprout.com and any subscription you take out with us. By using the site or creating an account you accept them.
If you do not accept them, do not use the site.
3. What Tick Sprout is, and what it is not
Tick Sprout is an educational publisher. We publish written courses, articles, glossary entries and free calculators explaining how financial markets work.
We do not provide financial advice. Nothing on this site is a personal recommendation, and nothing here takes account of your circumstances, objectives or financial position.
We do not:
- recommend that you buy, sell or hold any investment
- tell you when to enter or exit a position
- provide trading signals, tips or alerts
- manage money or accounts on your behalf
- hold or handle client funds
- execute trades
- guarantee any outcome or return
We are not authorised or regulated by the Financial Conduct Authority. We do not carry out any regulated activity under the Financial Services and Markets Act 2000.
If you want advice about your own financial position, speak to a person authorised by the FCA to give it.
4. Risk warning
Trading and investing carry a high risk of losing money. Leveraged products such as CFDs and spread bets carry a particularly high risk, and a majority of retail accounts lose money trading them.
Past performance does not predict future results. Nothing you learn here reduces those risks.
You are responsible for your own decisions and for any losses that follow from them.
5. Accounts
You must be at least 18 to hold an account.
You must give accurate information when you register, keep your login details secure, and tell us promptly if you think someone else has accessed your account.
You are responsible for everything done under your account.
We may suspend or close an account that breaches these terms, is used unlawfully, or is used to abuse the service.
6. Free and paid access
Some content and all of our calculators are free. Some content requires a paid subscription.
We may change what is free and what is paid. If a change removes access to something you have already paid for, we will tell you and you may cancel and receive a proportionate refund.
7. Subscriptions and payment
7.1 Price
Subscription prices are shown on our pricing page and include VAT where it applies. Prices are set in pounds sterling, US dollars and euros. We do not convert between currencies at checkout, so you pay the amount shown in your currency.
7.2 How our pricing tiers work
We offer subscriptions in bands based on how many members have joined. Each band has a fixed price and a fixed number of places. When a band fills, new members join at the next band's price.
The number shown on the pricing page is the number of places actually taken. We do not manufacture scarcity.
7.3 Rate lock
The price you join at is the price you keep, for as long as your subscription continues without interruption.
"Without interruption" means your subscription has not been cancelled. If you cancel and later rejoin, you join at whatever the current band price is at that time. Your previous rate is not restored.
If your payment fails and we cancel your subscription after our retry attempts are exhausted, that ends the rate lock. If your payment fails and then succeeds during the retry period, your subscription is unbroken and your rate lock continues.
We will not raise the price of an existing, continuous subscription. If we ever needed to, we would give you at least 30 days' notice and you could cancel before it took effect.
7.4 Renewal
Subscriptions renew automatically at the end of each period, monthly or annually depending on what you chose, until you cancel.
We will remind you before an annual subscription renews.
7.5 Payment
Payments are taken by Stripe. We do not see or store your card details.
If a payment fails we will retry it over a period of days and email you. If it still fails, your subscription ends and your access stops.
8. Cancelling
You can cancel at any time from your account page. Cancelling takes effect at the end of the period you have already paid for, and you keep access until then.
Cancelling is not more difficult than subscribing. We may offer you an alternative before you cancel, but you can decline it in one click and the cancel button is always available.
9. Refunds and your cancellation rights
Your statutory rights come first. Nothing in this section reduces the rights you have under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 or the Consumer Rights Act 2015.
9.1 Your 14-day right to change your mind
You have 14 days from your first payment to change your mind, for any reason, and get a full refund.
You do not have to email us or ask permission. There is a refund button on your account page. Press it and your payment is returned to you.
We do not deduct anything for what you have already read or used. The refund is the full amount you paid.
Before the refund goes through, we will tell you exactly what you are giving up: the days of access remaining in the period you have paid for, and the fact that your rate lock ends. You then confirm.
The button appears for 14 days from your first payment. If it has gone and you still think you are owed a refund, email us at [EMAIL] and we will look at it properly.
9.2 Renewals
Your subscription is a single ongoing contract that renews until you cancel. The 14-day right applies to that contract when you enter it, not to each renewal.
We will remind you before an annual subscription renews, so a renewal is never a surprise.
9.3 After the 14 days
Cancelling stops future payments but does not refund the period you have already paid for. You keep access until that period ends.
9.4 If something is wrong with the service
Your rights under the Consumer Rights Act 2015 apply separately and are not limited by any time window above. If what we supply is not of satisfactory quality, not as described, or not fit for purpose, you may be entitled to a repeat performance, a price reduction or a refund, whenever the problem comes to light.
9.5 How refunds are paid
Refunds go back to the payment method you used, normally within a few working days and always within 14 days.
[SOLICITOR: we understand an auto-renewing subscription to be a single contract under the CCRs 2013, so the 14-day right attaches once at formation rather than at each renewal. Please confirm. Also please advise on the DMCC renewal cooling-off period expected in spring 2027, which we understand applies to renewals of 12 months or more and would therefore affect our annual plans but not our monthly ones.]
10. Our content and your licence to use it
All content on Tick Sprout, including lessons, articles, calculators, diagrams, audio and PDFs, belongs to us or our licensors and is protected by copyright.
You may read it, use the calculators, and download PDFs for your own personal use.
You may not:
- republish, redistribute or resell our content
- copy substantial parts of it into your own materials
- use it to train a machine learning model
- scrape the site by automated means
- remove any attribution or watermark
Our calculators may be embedded on other websites using the embed code we provide, which includes a link back to us. That link must remain in place.
11. Brokers, advertising and how we make money
We are honest about this because it affects how you should read what we publish.
We make money three ways: subscriptions, display advertising, and affiliate commission from brokers.
Affiliate links. Some links to brokers pay us a commission if you open an account. This never affects our editorial rankings. We publish the basis on which we rank brokers on a separate page and we do not sell placement in those rankings.
Advertising. Advertising is labelled. Paid placements are labelled as such, in the same size text as the content around them.
We are not a broker and we do not recommend one. Information we publish about brokers is factual and verified where we can verify it, but you should do your own checks before opening an account with anyone. We are not responsible for any dealings you have with a broker.
12. The community forum
If we provide a forum or community space, additional rules apply and are published there.
In summary: no signal selling, no touting, no referral links, no abuse, no advice presented as advice. We moderate and we remove things.
You keep ownership of what you post, and you grant us a licence to display it on the site.
13. Availability
We try to keep the site available but we do not promise uninterrupted service. We may suspend it for maintenance or for reasons outside our control.
14. Our liability
Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that:
- We provide education, not advice, and we are not liable for trading or investment losses you incur.
- We are not liable for losses arising from decisions you make based on our content.
- We are not liable for the acts of brokers or third parties whose services you use.
- Our total liability to you for anything arising out of these terms is limited to the amount you have paid us in the 12 months before the claim.
This does not affect your statutory rights as a consumer.
15. Changes to these terms
We may change these terms. If a change materially affects you, we will give you notice by email or on the site before it takes effect, and you may cancel if you do not accept it.
16. Ending your account
You may close your account at any time from your account page. Closing your account also cancels any subscription.
We may close your account if you breach these terms seriously or repeatedly. We will tell you why unless we are prevented from doing so.
17. Complaints
If something goes wrong, email [EMAIL] and we will respond within [X] working days.
18. Law and jurisdiction
These terms are governed by the law of England and Wales. Disputes may be brought in the courts of England and Wales. If you live in Scotland or Northern Ireland you may also bring proceedings in your local courts.
Notes for the solicitor are in solicitor-brief.md, which should be read alongside this document.
