Rights issues, placings and the arithmetic of dilution

rights issue

A capital raise offered to existing holders in proportion to their stakes: the right to buy new shares at a discount, tradeable in its own right. The share price adjusts toward the theoretical ex-rights price by arithmetic - not loss - and the holder's true choices are take up, sell the rights, or knowingly donate value by doing nothing. The one corporate action where inaction has a price.
